She hacks him, in all likelyhood. Unfortunately for Spidey, Tony Stark built in remote command capabilities into the IS suit, as a fail-safe. The Major will be able to exploit this. Now, depending on what she does with the hack, if she gives Spidey a chance to get out of the suit, or just freezes him and puts a bullet in his head, determines who wins the fight. Frankly, the suit is a liability in the fight. Base Spidey would do better.

If he uses his webbing properly, then I don't think that the Major nor the Tachikoma could break out of it. I don't remember them having strength feats in the 50+ range, and they lack bladed weapons that are strong enough to cut through. The Tachikoma would actually be the more dangerous opponent, since regular Spidey isn't bulletproof, and he's facing AI with machineguns. The Major is basically someone with moderate superhuman attributes, which Spidey faces on a daily basis.

Spidy disabled the fail-safe and seemed to have made the suit unhackable even to Tony. If post-Extremis Tony couldn't hack the suit I doubt anybody could.
People often forget that Parker has been compared to Reed Richards in raw intelligence.

That was just Tony jobbing to Spidey. With Extremis, Tony can control digital devices that have no mechanism for remote access or user input (such as when he shut down Hap's life support equipment). There's no way that he shouldn't have been able to just bypass whatever software changes Peter had made and access the mechanisms directly.
Anyway ...
For the Major, hacking is a way of life. She has far more sophisticated tools at her disposal than any that Peter would have expected to have to defend against, including a powerful allied A.I. hacker. Peter has potential but not the actual goods. He 's a chemist.
Lets put it this way ...
Michael Collins Deathlok (who has exhibited similar hacking skills to the Major)hacked Tony Stark's software during the modular armor phase with ease. The Major should be able to do the same.
